OfferFusion Publisher Agreement
In order to fully participate as a publisher in the OfferFusion network, you must read and agree to the terms below. Failure to abide by the terms and conditions specified below will result in termination of the publisher account and forfeiture of any and all pending payments. All information provided in your publisher application must be true and complete. By completing the application, you are agreeing to be bound by these terms and conditions and by the specific terms and conditions of the advertisers whose offers you choose to display. The email address you provide must be to a top-level domain that can be verified as owned by you via Whois lookup. Publisher applications directed to any free hosted site will not be accepted, nor will any listing free email accounts as the contact email address. Contact email address must be to the domain owned by the applicant. If the publisher owns multiple domains and intends to place advertiser offers on multiple sites, OfferFusion staff must first approve each additional domain before ad placement. OfferFusion reserves the right to terminate the relationship with the publisher at any time via email, or without notice if publisher is found to be in breach of this agreement. The publisher may terminate the agreement with OfferFusion with 30 days written notice. PAYMENT: OfferFusion will make payment to publisher for each successful transaction completed through direct linkage from publisher's website / emails. Payment is made by check on net30 terms - meaning within 30 days from the end of the month in which the commission was originally approved or from which OfferFusion has received payment from the advertiser. OfferFusion is removed from responsibility to make payment to the publisher until it has received payment for the transactions from the applicable advertiser and the amount due to the publisher equals or exceeds fifty US dollars. Any earned but unpaid commissions shall carry into the next regularly scheduled payment period. In the event of any advertiser allegation of publisher fraud, OfferFusion will suspend the publisher account until the matter is fully investigated. If any fraud is identified, publisher will forfeit any and all outstanding commissions and will be reported to the appropriate authorities. Transactions qualifying for a payout are defined by the advertiser. Advertisers may change any payout rate at any time without prior notice. The publisher will not receive compensation for self-referral. In other words, OfferFusion will not make payment if the publisher completes a transaction using his/her own link. If OfferFusion is not paid by an advertiser, we maintain the right to delay payments for the advertiser's offers to affiliates until the advertiser pays. Credited commissions will not earn interest prior to disbursement. OfferFusion staff monitors all activity closely and maintain a zero-tolerance policy for fraud. Any activity that is deemed suspicious will be fully investigated. Fraudulent activity will lead to the immediate closure of the publisher account along with forfeiture of all unpaid commissions along with the possibility of legal action. Publisher MAY NOT advertise OfferFusion offers on: message boards, forums, instant messenger applications, or any other medium determinded to be inappropriate by OfferFusion partner advertisers. Payment may be reversed or refused in cases where OfferFusion or an OfferFusion advertiser determines that an offer was completed fraudulently by a publisher or general consumer. In the case that fraud is committed by a consumer (respondent to publisher's links), then all revenue generated by that consumer in past transactions will also be completely reversed. Reversed transactions will appear in the publisher's reports as a negative transaction reflected at the time the fraudulent activity was discovered. Any publisher found to have entered false information in their application will have their account removed and will forfeit any unpaid commissions. Examples include listing websites not owned by the publisher, running OfferFusion offers on domains other than those listed on the publisher application, listing false tax id information or completing a W9 using false information, listing a US mailing address when the publisher resides overseas, or any other activity deemed to be false or misleading at OfferFusion's sole discretion. REPORTS: OfferFusion posts all completed transactions upon notification from each advertiser. Whenever possible, these reports occur in real-time. PUBLISHER RESPONSIBILITIES AND CONDUCT:The publisher agrees to promote those advertiser offers he / she has selected to market in a positive manner. Use of negative business practices to promote the advertisers will not be tolerated. These include but are not limited to intrusive popups, spam (see spam-specific terms below), or any other means that could damage the advertisers' and / or OfferFusion's business and / or reputation. Publisher will maintain its email lists in a manner that conforms with best practices of opt-in solicitation and privacy policies. OfferFusion may require publisher to provide current privacy policy in force at publisher's medium at time of acceptance into the OfferFusion network. Publisher will not use OfferFusion's services in any manner deemed illegal under United States law and may not resell OfferFusion's services. Publishers may not under any circumstances interfere with the functioning of OfferFusion's servers or in any way attempt unauthorized access to OfferFusion systems. Publisher will under no circumstances make use of Adware or locally installed hardware to market advertisers' offers. Additionally, the publisher will not employ the use of excessive pops or other overly intrusive advertising on their sites while affiliated with OfferFusion. Additionally, automated clicks including autospawning of browsers, automatic redirecting of users, or any other technique of generating "automated" click-throughs is strictly prohibited and the use of any of these techniques will result in the immediate suspension of the publisher's account with the forfeiture of any and all unpaid commissions. Publisher may not make any unauthorized alterations to any supplied code unless expressly approved by OfferFusion. Adult Content: the publisher may not place any OfferFusion code on any website or newsletter that contains adult-oriented material including pornography, nudity, hate, racism or any other illegal or offensive material. Profanity, warez, cracking, hacking, phreaking, etc. promoted on publisher sites will not be permitted and will be deemed to be in violation of these terms. PUBLISHER ACCOUNT BONUS: In the event that the publisher is to receive a signup bonus, said bonus wlll be payable upon publisher earning $200 in non-bonus commissions. In other words, if the publisher signed up with a $50 account signup bonus, that $50 will be paid out when the total account reaches $250. If the publisher fails to earn at least $200 in verified commissions within six months of account creation, the signup bonus is forfeited. SPAM-SPECIFIC POLICIES: OfferFusion publishers that market offers via email will directly and completely adhere to all terms outlined in the CAN-SPAM ACT of 2003. (Please read the act completely here before submitting your publisher application) The law specifies that all commercial email: Publisher's traffic must be US-based, although publisher is not required to possess a US mailing address Publisher may only maintain one account with OfferFusion. Publisher may make use of "Campaign" options to create sub-accounts. The relationship of publisher to OfferFusion as established in this agreement is that of independent contractor. CONFIDENTIALITY: Publisher agrees that proprietary information including business function, pricing, email correspondence, documentation, customer list, business plans and strategies from OfferFusion will remain the exclusive property of OfferFusion and agrees to hold such information in confidence and free of dissemination in any form, written or verbal.
